IMPORTANT - READ CAREFULLY:
This End-User License Agreement ("EULA") is a legal agreement between you (either
an individual or a single entity) and GARSYS Software for access to Easypay
payroll, which includes computer software and may include associated media, printed
materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing,
copying or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms
of the EULA. If you do not agree to the terms of this EULA, do not install or use
the SOFTWARE product; you may, however, return it to your place of purchase or terminate
your subscription for a full refund.
GARSYS Software provides
this software and licenses its use to you. You assume responsibility for the selection
of the software to achieve your intended results, and for the installation, use
and results obtained from it.
DEFINITIONS
The term "Software" as used in
this agreement means the full system and all utility computer programs contained
on the disks in this package, together with any updates subsequently supplied by
GARSYS Software.
The term "Software Copies" means the actual copies of
all or any portion of the Software, including backups, updates, merged or partial
copies permitted hereunder or subsequently supplied by GARSYS Software.
The term "Related Materials"
means all the printed materials provided in this package or later supplied by GARSYS
Software for use with the software
PERMITTED USES
You may:
Use the single version of the
software on a single computer or on a single workstation on a network. Additional
workstations utilising the single user release must be licensed by GARSYS Software.
The network version may be used on multiple computers that are connected by direct
cable to the same network server. The web based version may be accessed simultaneously
by different users.
This license gives you certain
limited rights to use the Software. You do not become an owner of and GARSYS
Software retains title to all the Software, Software Copies and Related Materials.
In addition, you agree to use reasonable efforts to protect the Software from unauthorised
use, reproduction, distribution, or publication. All rights not specifically granted
in this license are reserved by GARSYS Software.
USES NOT PERMITTED
You may not:
Make copies of the Software,
except as permitted above.
Make copies of the Related Materials.
Rent, lease, sub-license, or
transfer the Software, Software Copies, Related Materials or your rights under this
license without the prior written consent of GARSYS Software.
Alter, decompile, disassemble
or reverse engineer the Software
Remove or obscure the GARSYS
Software copyright and trademark notices.
DURATION
This agreement is effective from
the day you start using the Software. Your license continues for twenty-five years
or until you return to GARSYS Software the original disks and any backup
copies whichever comes first or terminate your subscribtion.
If you breach this agreement,
we can terminate this license by notifying you in writing. You will be required
to return all Software, Software Copies and Related Materials. We may also terminate
your subscription as well as enforce our other legal rights.
GENERAL
This agreement represents our
entire understanding and agreement regarding the Software, Software Copies and Related
materials and supersedes any prior purchase order, communications, advertising or
representations.
This license may only be modified
in a written amendment signed by an authorised GARSYS Software officer. If any provision
of this agreement shall be unlawful, void, or for any reason unenforceable, it shall
be deemed severable from, and shall in no way effect the validity or enforceability
of the remaining provisions of this agreement. You acknowledge that you have read
every provision of this contract.
